Public Offer
for the Provision of Services

FRAM GROUP LLC · Last updated: April 2026

This document constitutes a public offer by LLC Wealth Management Center FRAM GROUP (OGRN 1267700027759, INN 9719085391; hereinafter the 'Service Provider') addressed to an unlimited circle of persons (hereinafter the 'Client').

The offer is published on fram.group and contains all material terms of the service agreement in accordance with Articles 435 and 437 of the Civil Code of the Russian Federation.

Acceptance of this offer constitutes the Client performing one of the following actions: payment for services through the payment form on the site; confirmation of the order by marking agreement with the offer terms; signing a contract or invoice.

From the moment of acceptance, the offer is considered a concluded agreement between the Service Provider and the Client on the terms set out below.

The Service Provider renders the following types of services:

The specific scope, volume and timeline of services are defined in the invoice, technical specification or other document agreed by the parties.

Payment for services is made in Russian roubles by bank transfer to the Service Provider's account or via the YooKassa payment service (YooMoney NBCO LLC, Bank of Russia licence No. 3510-K).

Unless otherwise provided by a separate agreement, payment is made on a prepayment basis (advance/deposit) in an amount agreed by the parties prior to the commencement of services.

The payment date is the date on which funds are credited to the Service Provider's account.

The Service Provider commences services upon receipt of payment and agreement of all material terms with the Client.

Acceptance of services is effected by the parties signing a service completion certificate (hereinafter the 'Certificate'). The Client must sign the Certificate or submit a written objection within 5 (five) business days of receipt. If no response is received within that period, the services are deemed accepted by the Client without objection.

Once the Certificate is signed by both parties, the Service Provider's obligations in respect of the relevant phase or the agreement as a whole are deemed duly fulfilled.

Consulting services. Prior to the commencement of services, the Client may withdraw from the agreement and receive a full refund of the advance paid. After services have commenced, a refund is made in respect of the unused portion of the prepayment/deposit — in proportion to the volume of services not yet rendered, as confirmed by the Service Provider's calculation.

Publishing and production services. Once the service completion certificate or a stage thereof has been signed, no refund is made in respect of those stages, as the services are deemed accepted by the Client without objection.

Gift certificates. The monetary value of a gift certificate is non-refundable, except as required by applicable Russian law. The certificate is valid for 3 (three) years from the date of issue. It may be used in part; the remaining balance is retained until fully used or until the certificate expires.

Refunds are made to the Client's bank account within 10 (ten) business days of the Service Provider receiving the relevant request.

The Service Provider undertakes not to disclose to third parties any information about the Client, the scope and content of services rendered, or any other information obtained in the course of performing the agreement, without the Client's written consent — except as required by Russian law.

The parties shall be liable for non-performance or improper performance of their obligations under the agreement in accordance with applicable Russian law.

The Service Provider shall not be liable for inability to render services due to force majeure: natural disasters, military actions, governmental decisions and other circumstances beyond the reasonable control of the parties.

The aggregate liability of the Service Provider under the agreement shall not exceed the value of services paid for by the Client but not yet rendered.

All disputes and disagreements arising in connection with the performance of the agreement shall be resolved by the parties through negotiation. A pre-litigation claims procedure is mandatory; the response period is 30 (thirty) calendar days.

If no agreement is reached, the dispute shall be submitted to the court at the Service Provider's place of business — Moscow — in accordance with applicable Russian law.

The Service Provider may unilaterally amend the terms of this offer. Amendments take effect upon publication of the revised version at fram.group. Agreements concluded prior to the amendment remain governed by the terms in force at the time of acceptance.
